Setting up a franchise in Spain

The Spanish market is currently flourishing. For the past few years, Spain has had the best growth rate in job creation in Europe. (Spain has imported and exported a number of franchise networks given that the franchising market is hyperactive).

In a period of 10 years, France doubled commercial exchanges with Spain; today, it has become the first client and the second supplier on the Spanish market. The economic conditions between those neighbouring countries push French entrepreneurs to explore the possibility to set up on thus dynamic market.
The following are a few useful notions to know in order to develop on the Spanish territory:

In Spain, working hours per week are 40 hours maximum. Employees benefit from 30 days of paid leaves a year, which cannot be re-bought by the company.

Regarding Spanish companies’ statutes, there are mainly public companies (minimum capital: 60 101 €), and limited companies (minimum capital: 3005€). Nevertheless, since 2003, a new type of companies has emerged in Spain: New enterprise limited companies. Those companies dispose of a capital ranging from 3012 to 120 202 €, and are managed by a maximum of 5 shareholders. In support of SMEs (small and medium enterprises), the Spanish law allows companies to have only one shareholder.

In terms of fiscal concerns, Spanish companies are taxed on 35% of their profits. In Spain, taxable income corresponds to profits realized during the period of liability. A company is considered as “Spanish” if it was constituted following the Spanish law and if the headquarters are located in Spain.

Companies are subject to VAT on the sale of goods and services on the Spanish territory, but also on the purchase of goods from the EU, and on imports. The VAT rate in Spain is 16%; reduced rates are also applied (4% on books, newspapers, magazines…; and 7% on food, beverages, animals, medical equipment, hotel services, catering…)
